Welcome to Grow Smart Online. These Terms & Conditions govern the relationship between Grow Smart Online ("we", "our", or "us") and the client ("you") contracting our website design, development, and integration services.
By signing our project proposal and paying the initial deposit, you agree to comply with and be bound by these terms.
The exact scope, package options, price, and deliverables are specified in the personalized Project Proposal sent to you. Any additional features, revisions, or design changes requested outside of this proposal will be treated as separate add-on tasks and billed accordingly.
The success of the project depends on your timely feedback and asset delivery. You agree to provide all requested brand assets (logos, images, brand manuals, copywriting copy) within a reasonable timeframe (standard 14 business days). Delays in providing copy or assets will delay delivery timelines, and projects left inactive for more than 30 days due to client delay may be paused or require a restart fee.
We retain all intellectual property rights, source code ownership, and design assets developed during the project lifecycle. **The copyright, design ownership, and IP rights transfer fully and exclusively to you ONLY upon receipt of the final, full payment** for all contracted services and milestones.
These Terms & Conditions shall be governed by and construed in accordance with the laws of Ireland (or the country of primary registration of the Agency at the time of contract execution). Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the competent local courts.
